A water company that admitted it nearly ran out of cash paid twenty one executives eighteen million pounds anyway, and no one on the board will say whose decision that was.

THE SIGNAL

Thames Water spent 2025 telling regulators its finances were “hair raising,” and came close to running out of money entirely.

It also built a retention scheme paying twenty one senior managers up to 200 percent of base salary, structured in three tranches through June 2026.

Chair Sir Adrian Montague told MPs in May that creditors had “insisted” on the payments.

The Guardian showed that was false.

The scheme was paused, but the first tranche, paid in April 2025, was never clawed back. New legislation was already in force banning performance related bonuses for water company executives.

Four managers on salaries up to 400,000 pounds stood to collect over a million each, nearly three years of extra pay, for staying twelve months. Parliament’s environment committee has recalled Montague and CEO Chris Weston for a hearing on July 15, one day after this edition publishes.

THE FAILURE POINT

The break did not happen when the money moved.

It happened in the boardroom, when the remuneration committee reworked a performance linked bonus into a retention payment specifically to sit outside a new law banning performance pay for water bosses.

Minutes show the committee asking whether the structure was “consistent” with the Act, then confirming it was, without a single name attached to that judgment.

That confirmation is the hinge. Everything after it, the payment, the denial, the pause, the non recovery, follows directly from a decision nobody signed alone.

This is an MOS failure, not a leadership failure.

The scheme was engineered by committee, approved by committee, defended by committee, and now un-recovered by committee.

Every stage has “the board” or “the committee” attached to it.

None has a name.

Under scrutiny, the pattern repeated.

Montague told MPs one story in May, calling the recipients the company’s “most precious resource,” then corrected the record after reporting proved the creditor claim false.

The board paused the scheme but did not reverse the first payment. When asked to claw back the money, Montague said the board “has not taken further decisions.”

Responsibility moved outward, toward creditors, toward Ofwat, toward Defra, and never landed on one person inside the room where the scheme was written.

The environment secretary could only say he expected the regulator to look into it.

Expectation is not ownership.

Any compensation structure touching more than one signature needs a named final approver on record before it reaches a vote, not after a controversy forces one.

If a committee cannot produce that name in the minutes, the structure does not go to the board.

Walmart never decided to sell counterfeit Estee Lauder products. It decided, four separate times, to make it a little easier not to notice when it did.

THE SIGNAL

On February 9, 2026, Estee Lauder Companies sued Walmart in federal court in California, alleging its marketplace sold counterfeit La Mer, Clinique, Tom Ford, Le Labo, and Aveda products.

The suit leans directly on a CNBC investigation that found Walmart loosened its third party seller vetting for years while racing to catch Amazon’s marketplace, and documented at least 43 sellers who stole real businesses’ identities to get approved.

Lab tests at St. John’s University confirmed the products CNBC bought were fake.

One customer, Mary May, got counterfeit brain supplements delivered to her door in Tennessee before anyone at Walmart flagged the seller. The stolen identity behind that sale belonged to a small business owner three states away who had never opened a marketplace account and only learned about it when customer returns started arriving at her door.

THE FAILURE POINT

The clearest break happened years earlier and had nothing to do with beauty products.

Early in the pandemic, staff proposed opening Nike listings to more third party sellers to grow revenue beyond a few hundred thousand dollars a year.

Some staff warned it would raise counterfeit risk.

Management ran the math anyway.

One former employee recalled the reasoning plainly: the counterfeit share of Nike sales would probably be small enough that it was worth doing, even if it meant playing whack a mole and refunding customers later. That was the moment growth was chosen over verification, on the record, with the risk already named out loud.

SIGNAL WITHIN THE SIGNAL

• The vetting standard did not fail all at once.

• It compressed in four distinct steps.

First, staff stopped calling applicants to verify who they were.

Then internal guidelines on how long a business had to be open got waved off.

BEHAVIOR UNDER PRESSURE

A former vetting employee, Tammie Jones, described her instruction from management in three words: approve, approve, approve.

When CNBC brought its findings to Walmart, the company offered a general statement about trust and safety being non negotiable, then declined to explain its actual vetting process unless CNBC agreed not to report it.

CNBC refused that condition. Only after the reporting reached Walmart did the company tighten its rules, and only after the lawsuit did the pattern become impossible to frame as isolated incidents.

In a June 27, 2026 interview, Kohl’s CEO Michael Bender told CNBC directly, “We stopped listening to the customer.”

The admission lands after a brutal stretch. Kohl’s stock hit an all time high near 82 dollars a share in late 2018, on revenue of 20.23 billion dollars for the fiscal year ended February 2019.

Five years later the stock had lost nearly 70 percent of its value, and Wall Street had stopped extending the retailer the benefit of the doubt.

Its most recent quarter told a different story, revenue of 3 billion dollars, its best comparable sales growth in four years, and a 20 percent stock spike on the report. Even so, TD Cowen analysts still rated the stock a hold, calling Kohl’s a “show me story.” Bender called the quarter “knocking on the door of growth,” not arrival.

THE FAILURE POINT

Bender named the exact decision himself. Kohl’s eliminated categories including petites and jewelry, calling them, in his words, “not substitutable.” A customer who cannot find petites at Kohl’s does not buy something else at Kohl’s. She leaves and buys petites somewhere else. That is the moment the strategy stopped being a strategy and started being a slow transfer of loyal customers to competitors, one deprioritized category at a time.

SIGNAL WITHIN THE SIGNAL

Competitive pressure on Kohl’s never let up. Off price rivals undercut on value. Amazon undercut on convenience. Athletic retailers undercut on category authority. What should have absorbed that pressure was a stable internal identity, but Kohl’s leadership churned instead, and each new regime answered the pressure with a new theory. Off price one year, athleisure the next, private label after that. External pressure stayed constant. Internal regulation reset with every executive change. Norman’s Law does not require malice to produce instability. It only requires the gap to sit open long enough, and Kohl’s left it open for the better part of a decade.

Under pressure, Kohl’s leadership narrowed to whichever competitor looked most urgent that quarter.

Losing ground to T.J. Maxx meant leaning into off price.

Losing ground to athletic retailers meant chasing athleisure.

Losing ground to Amazon meant doubling down on private label. Each pivot was a reasonable response to a single quarter’s pressure and an unreasonable response to the customer’s need for a store that stayed the same store.

Analyst Sonia Lapinsky called it “a constant kind of shift of what the customer can expect when they walk into the store.” That shift was the tempo. It got mistaken for judgment for the better part of ten years, and rapid executive turnover made sure no one leader stayed long enough to be held to the last pivot’s results.

Any decision to cut a merchandise category needs to run through one explicit test before approval: will this customer buy something else in the store, or will she leave the store entirely.

If the honest answer is leave, the cut requires named executive sign off with the customer loss modeled and stated out loud, not folded into a routine assortment review where it reads like a footnote.

Epictetus wrote, “Know first who you are, and then adorn yourself accordingly.”

The override missing across a decade of Kohl’s leadership was the discipline to hold that identity through a bad quarter instead of borrowing a competitor’s playbook to relieve the pressure of that quarter.

Bender is the first to say the quiet part out loud instead of running the next pivot.

Ukraine and Russia keep striking deeper because neither side has found a decision point that ends the cycle. Markets priced in a Fed decision before Kevin Warsh had made one. SEBI also identified ₹926 crore moved through accounts linked to Chairman Rajesh Mehta with no board or audit committee approval, and ₹215.85 crore that flowed to Elest, a battery company Mehta co-founded with his brother, without proper related-party disclosure.

SEBI barred the company and Mehta from market access. The National Financial Reporting Authority has since opened its own investigation into the statutory auditor.

THE FAILURE POINT

The related-party approval process at Rajesh Exports existed in policy for years. It never once stopped a transaction initiated by the chairman himself. That’s the break. Not the absence of a rule, the absence of a rule with teeth.

For five years, the company optimized for one thing: a growth story large enough to support “world’s largest gold refiner” positioning.

Documentation for ₹1,035 crore in claimed African gold-mining investments never materialized. When the formal process would have slowed things down or invited a question, the process got skipped instead of engaged.

The approval gate was a step on a flowchart, not a functioning checkpoint.

Nothing in five years of related-party transactions shows the audit committee acting as a real constraint on the person the gate existed to constrain.

The fix isn’t a new policy.

It’s making the existing one binding on the one person most likely to route around it.

Leaders want to paint an exciting future, we expect that from them, but it can cost you.

THE SIGNAL

In October 2025, Fermi Inc went public and had a valuation of $15 billion in its IPO. The reasoning was Project Matador an AI data center to be built with up to 11 GW / 17 GW in their campus at Amarillo, Texas.

But under Neugebauer’s leadership, the stock fell more than 80%. Then the board terminated him on April 30. Their reasons, material misrepresentations to the board, public communications violating fiduciary duties, unauthorized third-party meetings and a pattern of bullying conduct.

Neugebauer sued, claiming he was fired without cause. Seven more executives depart post-termination then CFO Miles Everson resigns 2 days after Neugebauer’s exit.

There was one problem. The project didn’t have a signed tenant or completed financing.

THE FAILURE POINT

The failure point was going public and committing to an 11 GW build before a single tenant or completed project financing was locked. That decision created every downstream exposure.

SIGNAL WITHIN THE SIGNAL

The board stated the termination causes including “material misrepresentations” and “lack of transparency.” The board wasn’t receiving a clean signal from its own CEO before and during the IPO commitment. This is what we call Signal Compression; the truth gets diluted as it moves up the leadership chain.

Once trust started breaking down, everyone defended themselves. There were public statements and side conversations with third parties on company transactions. The attempted board takeover after Neugebauer’s termination. Then disputing the record in litigation rather than accepting the board findings.

Nothing in the company’s governance structure required commitments to be locked (a signed tenant, completed project financing) before the company could make a public claim of that scale. The system let a public commitment get ahead of the underlying reality.

A management system should make it difficult to promise something it can’t deliver.

Every leader needs one internal question before making a public statement, “Can my organization deliver this?”

The pattern suggests that the leader was not able to self-regulate. To have the internal check that would have interrupted the leader’s own impulse, would have been very useful at this point.

The override discipline is to pause and think through a public claim before saying it out loud. Everone one of us has been in that situation, I know I have but you need the ability to catch oneself before speaking.

MOS is the external structure while IOS is the individual self-regulate structure that balances the equation. Boards can only make good decisions if they receive an accurate signal.

Canada and the US let an extended trade deadline lapse rather than force a decision. In each case, the information existed. The choice to act on it did not. This is Norman’s Gap: when external pressure exceeds internal regulation, instability follows.

The U.S. put $533 million into a General Dynamics artillery-shell operation for Ukraine. So far, it has delivered zero usable shells.

THE SIGNAL

On May 29, 2024, General Dynamics opened its new plant in Mesquite, TX. It was the General Dynamics Ordnance and Tactical Systems consisting of the Universal Artillery Projectile Lines (UAPL).

But 2 years later the Pentagon’s Inspector General released a report that the site had produced zero usable 155mm shell parts.

THE FAILURE POINT

With zero parts being produced, money keep flowing in. General Dynamics committed $200 million of its own money to get things moving. Then there was a work stoppage for 8 months.

The failure point is money going to a site with no output and a system that failed to stop this. I watch a lot of air disaster investigations and rarely is a plane crash one issue. This is no different, Congress dropped no-bid contracts, and the Army award contracts without proof the equipment could produce a single shell.

The warning signs were there.

The lesson is a breakdown of pass/fail gates, starting with a failed first article test (April 2024), missed second-line deadline (April 2025). Then in December of 2025, the Army paid $26.3 million in “progress payments,” to a company that failed to produce any parts.

How did people behave when things got difficult? I call it Signal Compression, the truth gets diluted as it travels up the leadership chain.

General Dynamics CEO, Phebe Novakovic, in April 2024 claimed, “rapidly increasing ammunition production.” Then again in July another statement, “the line was running and producing as planned.”

But 6 former workers disputed this. They told ProPublica, the line was producing nothing.

By September, the Army’s acquisition chief called the delays only weeks, not months behind.

This is a pressure induced narrowing perception of reality.

As a consultant, money is tied to deliverables. When we begin an engagement, you track performance and establish milestones.

But here, General Dynamics was allowed to begin work without finalized contracts. There was no verification the three lines could produce the shells. Where were the milestones to show periodic performance?

In my business, money is always tied to the deliverable. So, this was a structural problem, a Management Operating System issue, paying for activity but not output. The system is rewarding the wrong output.

LEADER DRIVER - INTERNAL OPERATING SYSTEM (IOS) - REGULATE

It’s common to not want to hear bad news. But in manufacturing it’s constantly bad news, problems can develop daily, at any time. But a good leader deals calmly with this. Where was the escalation trigger? One that should have started an immediate audit or an investigation as to what was going on.

Ive seen this before, organizations make acting more dangerous for your career than waiting. If you escalate you own it. Even though right in front of them was the failure.

IF YOU DO ONE THING TODAY

Look into every active capital project that is delayed or struggling with first pass yield. Identify, the named person who is accountable to sign-off before the next dollar is paid. Not someone inside the program, an outside that can say no.

The jets have been sitting for months, and why is no one saying, we made a mistake?

THE SIGNAL

Here’s what actually happened. Last fall, the Department of Homeland Security approved a $464 million no-bid contract to buy ten used aircraft from Daedalus Aviation, a company that had never held a federal contract before.

First off, I do not like “no-bid,” contracts, right away I’m triggered, someone’s friend just got a deal.

The department said it needed the planes for deportation flights right away, so it skipped the normal bidding process and as the reader you can decide if that’s right.

The New York Times published a report on August 13 that most of those planes have barely flown. Seven older Boeing 737s have been parked for months in Lake Charles, Louisiana. The reason, DHS says it doesn’t have enough crews to operate them. Three others are business jets, and one was potentially a lease to the FBI.

Former Secretary Kristi Noem approved the purchase. Her replacement, Secretary Markwayne Mullin now owns the department and the problem.

THE FAILURE POINT

Here’s where I think the system failed. DHS said this purchase couldn’t wait, maybe that’s true, but where’s the evidence? If the planes sat for months because there weren’t enough crews to fly them, how urgent was the purchase?

Harry Truman kept a sign on his desk that said, “The buck stops here.”

SIGNAL WITHIN THE SIGNAL

This is the management lesson and an example of Norman’s Gap. The measurable distance between external pressure and internal regulation.

The external pressure in this case was a self-inflicted public deportation timeline. Then there was the political pressure to show results.

The other part of the equation, internal regulation, was absent.

We can go through a list of what was missing. If you read my newsletters, you know I like a named owner on everything.

• No named owner tracked whether the planes actually flew.

• No staffing plan came attached to the purchase.

• No pilots or maintenance at DHS.

To balance the equation, as external pressure grew, regulation needed to match it. That didn’t happen. The gap was pressure building while the regulation meant to absorb it did nothing. This is why $464 million in aircraft can sit parked in Louisiana. Then there are two administrations argue about whose signature owns this.

• Noem approved a questionable deal. Mullin inherited it.

• Here’s the question every organization should ask:

This is how people react to pressure when things get difficult. One person pointed to the urgency behind the purchase and the other pointed to a leadership change.

When ownership isn’t clear from the start, we tend to fill in the blanks with a story. We start explaining the past instead of fixing the present.

This isn’t just an accountability problem, it was self-protection. When people don’t know who owns the problem, they protect themselves first

When we build a management operating system, and pressure rises, the organization doesn’t have to decide who owns the problem, it already knows. This is what a good management system shows accountability and responsibility.

That’s why you build standard work, daily meetings, escalation paths, visual management, and decision rules.

Good systems answer the ownership question so the organization can focus on solving the problem.

None of us were in the room when these decisions were made. But looking at the outcome, it’s fair to ask whether the management system was strong enough for the pressure it faced.

A management system should never leave ownership open to interpretation. Every important decision needs two names:

• The person who approved it

• The person who owns the result.

Sometimes they’re the same person, sometimes they’re not. But either way, everyone should know before the work begins.

Researchers at CloudSEK disclosed what they called the largest AI supply chain breach of 2026, tracing a compromise of the widely used LiteLLM project back to March, when attackers altered packages through a security scanner embedded in its own build pipeline. Reports indicate the breach touched more than 2,500 organizations, though the full scope is not yet independently confirmed. Management connection: a security tool became the entry point, a control turning into the hole it was meant to close.

THE SIGNAL

Capital One notified the Trump Organization, Eric Trump, and roughly 385 affiliated accounts in March 2021 that their decade-plus banking relationship was ending.

The public was not given an explanation from the bank, which meant, we the public had to make our own judgement. For me, it really didn’t resonant until just recently.

Then four years later in 2025. The Trump Organization and Eric Trump sued the bank. They claimed the accounts were closed for political reasons. They claimed it was because of the January 6 riot. But a federal judge dismissed earlier versions of the lawsuit. Stating the bank had a contractual right to close accounts.

Then we got an explanation. Capital One publicly explained its decision. The bank said its financial crimes team had conducted a months-long anti-money laundering review. After that assessment they closed the accounts.

THE FAILURE POINT

The problem wasn’t that Capital One had closed an account. It was being silent until four years later.

When decisions and explanations become separated especially by years, trust can be lost. The lesson is simple: when a decision is made, you’re better off giving an explanation rather than letting others fill that in.

We can accept difficult decisions. This is how our life is. What we don’t like is a long silence about why the decision was made. Think of being let go from a job. You quickly accept it. But then start questioning why.

SIGNAL WITHIN THE SIGNAL

Norman’s Law: when external pressure exceeds internal regulation, instability follows.

Every management system gets pressure tested. But when the pressure exceeds what the system was designed to handle, weaknesses get exposed.

Capital One’s process was built for routine account closures, we don’t know how often or how many accounts are closed by banks. But in this case, the pressure changed.

What works under normal conditions usually doesn’t get this level of attention. But when you are talking about the President’s company and family, that’s a different story.

BEHAVIOR UNDER PRESSURE

When the suit landed, Capital One did what most institutions do under threat. It reached for the defensible position first: the contract allowed this, full stop. Only when that position started losing in court did the bank reach for the operational one, producing the AML review months after the fact, in a filing, under a judge’s pressure to dismiss. The instinct was legal cover before documented substance. That instinct is common. It is also exactly backward from what protects an institution once the political weather shifts.

SYSTEM DRIVER - MOS

The structural fix is not a new closure policy. But a rule that decisions of this size get an explanation the day the decision is made. Don’t leave it for someone else to make up a story.

Every bank operating on a termination clause has this same exposure. It costs nothing to fix before a lawsuit. It costs years and legal fees to fix after one, this is why Capital One is going through what it is.

LEADER DRIVER - INTERNAL OPERATING SYSTEM (IOS) - REGULATE

So what does a leader do? The thinking, “we’re allowed to” can lead to unforeseen issues. There needs to be a process where you can explain, why, today and in writing.

Capital One’s financial crimes team likely had a real and defensible reason in 2021. What it did not have was the discipline to write that reason down or make it public. That discipline has to be built before the decision, not afterward as a defensive position.

IF YOU DO ONE THING TODAY

This is where I try to offer a bit of guidance in each article.

Pull the last five decisions your organization made, a termination or a closure. Check whether each one has a dated, named rationale sitting somewhere you could produce in an hour.

If it does not exist, write it now, while the reasoning is still accurate, not later, when it has to be reconstructed for someone else’s timeline.

Ranchers would rather hide a screwworm case than report one. Seven weeks later, confirmed cases are up nearly eightfold.

THE SIGNAL

When this story first broke, the United States had just five confirmed New World screwworm cases, all in Texas and New Mexico. Secretary Rollins criticized Texas Agriculture Commissioner Sid Miller after he suggested some ranchers might treat an infected animal themselves rather than report it.

The outbreak didn’t slow down. It kept growing. By early July, USDA had confirmed 32 cases. Less than two weeks later, Texas was reporting 39 cases, 38 in Texas and one in New Mexico. Then another problem emerged. The CDC’s own situation update listed 37 domestically acquired animal cases. Two federal agencies were tracking the same outbreak, yet they weren’t reporting the same number.

THE FAILURE POINT

The failure point was not acting on the warning. In June Rollins attending a press conference defended Miller’s credibility instead of addressing the problem. The failure point now is that nothing happened. Whatever the real infection rate is, the confirmed number was never the constraint.

This is interesting, decision judgement. Someone on LinkedIn had responded to one of my posts and mentioned this term. It applies very well here. It was a choice to not act on the warning

SIGNAL WITHIN THE SIGNAL

I have a few regular readers of my newsletter, so you are probably familiar with a few terms I write about: Norman’s Law, Signal Compression, and Norman’s Gap.

This is an example of Norman’s Law, when external pressure exceeds internal regulation, instability follows.

It’s difficult to hide bad news and manage it well. When a leader is focused on looking good you might stop focusing on the facts. In this case you can see the outcome in the data. Here we have two government agencies reporting different numbers, this is not good. This is what instability looks like.

BEHAVIOR UNDER PRESSURE

This article is not really about the screwworm but how organizations respond when reality changes. The leaders did not change their position as the numbers got worse. They kept reassuring people instead of communicating that conditions had changed. Meanwhile, Mexico and Canada treated the U.S. data with open suspicion. Canada banned Texas-origin cattle within days of the first case. Mexico halted most U.S. livestock imports outright.

SYSTEM DRIVER - MOS

When we think of a management operating system, data drives or it should drive change. But here the problem identified is still here. This was not a problem that couldn’t be solved, it had a straightforward solution. Like all systems, design it so people tell the truth.

This leads into another term Ive coined, Signal Compression, the truth gets diluted as it moves through people, department or agencies.

A second gap has now surfaced on top of the first one. No single person was accountable for the number. This was never a compliance to process issues it was a leadership and system design issue.

LEADER DRIVER - INTERNAL OPERATING SYSTEM (IOS) - REGULATE

The evidence kept getting worse for five weeks.

They had multiple opportunities to rethink whether the current approach was working.

Instead of changing the system, they kept telling people everything was under control.

They responded with communication and not change. The problem was treated as bad news and not a systems issue.

IF YOU DO ONE THING TODAY

Do you trust your metrics? If not, you can’t trust your decisions. Data is only useful if its trusted and tells the truth.

Look at one metric or KPI everyone trusts to be the truth. Ask who owns it? A named owner is accountable for its accuracy.

If accountability is not clear, you don’t trust the data and your team is silent. You have a correction ahead of you.

Your team might be hedging. There is a list of reasons people will make the numbers look better:

• Fear

• Ego

• Politics

• Career pressure

• Human bias

• Groupthink

As a leader you need to ask, is there pressures that could cause our metrics to drift? Look at your system, does it allow data massaging to become corrupt?

The US and Iran are set to resume talks Monday on reopening the Strait of Hormuz, after the tanker Gaslog Shanghai was reported among vessels struck there. Vice President JD Vance said talks have progressed but the conflict, now in its fifth month, is not over. An Iranian official told state media the exchanges are happening through intermediaries and should not yet be called negotiations.

Leadership insight: a truce resting on an unconfirmed pledge is a decision window still open, not a resolution.

Physicists Found a Way to Aim Heat Like a Beam

Researchers demonstrated that heat can travel through a crystal in focused, directional rays at room temperature instead of spreading randomly. The effect, previously seen only at extreme cold, could let engineers route heat away from the most sensitive parts of next generation chips. The finding is early stage and has not been applied outside the lab.

Management connection: as AI hardware pushes more power through smaller spaces, heat becomes as real a constraint as electricity itself.

London based OLIX Computing raised a 312 million dollar Series B at a 3.3 billion dollar valuation for photonic chips built to run AI inference on less electricity than conventional silicon. The round reflects investor appetite for hardware addressing power draw directly, not just software efficiency. Reports describe strong demand but do not confirm deployed customer volumes yet.

Leadership insight: when funding shifts from clever software to the physics of the chip, the easy efficiency gains are usually already gone.

The EU AI Act’s Compliance Deadline Landed This Week, Ready or Not

HOLLAND AND KNIGHT LEGAL ALERT, 2026

Most high risk provisions of the EU AI Act took effect August 2, requiring US firms with high risk AI systems in Europe to meet new testing and oversight rules or face penalties. Legal advisories describe many firms as still building compliance programs at the deadline itself. Separately, US lawmakers introduced bills requiring testing frameworks and shutdown capability for powerful models.

Management connection: a deadline arriving before the program is finished is the gap between what leadership promised and what got built.

UNEXPECTED DISRUPTIONS

A Cyberattack Knocked North Carolina’s Ports Back to Paper

North Carolina Ports detected a cyberattack late on August 4 that disrupted IT systems at Wilmington, Morehead City, and the Charlotte Inland Port, forcing staff to process cargo and trucks manually. Gate schedules resumed by August 6, but officials had not identified the attacker or confirmed whether data was compromised as of this writing.

Leadership insight: the contingency plan worked well enough to keep trucks moving, which matters more than whether the attacker is ever named.

Twenty-five days passed between the first confirmed illness and the recall. Why should this scare us?

THE SIGNAL

On June 22, 2026, the first documented illnesses began in a multistate Cyclospora outbreak. It’s now linked to shredded iceberg lettuce supplied by Taylor Farms de Mexico.

Shredded lettuce is used in every fast-food chain. The lettuce in question was shipped to Taco Bell locations in Indiana, Kentucky, Michigan, Ohio, and West Virginia before investigators traced it to a single supplier.

By July 17, the case count tied to Taco Bell exposure had reached 1,644 people. In five states. Taylor Farms issued the recall that day, pulling all iceberg lettuce sourced from central Mexico off the market. A week later, on July 24, CDC added four more states, Illinois, Kansas, Oklahoma, and Pennsylvania. The total climbed to 1,947 confirmed cases and 98 hospitalizations. There are no deaths reported.

THE FAILURE POINT

If I were writing a horror movie plot. This could be the main villain. Think of this: a parasite that lives in the small intestines. It’s spread by eating or drinking food or water contaminated with human feces. The creepy part it’s not spread from person to person directly. When Cyclospora leaves an infected person’s body, it is not immediately infectious. It must spend days to weeks in the environment before it matures (sporulates) and it attacks its victim.

I eat a lot of veggies; you could call me a vegan. This concerns me; we know produce carries some risk. But I know this is a healthy way to eat. The system failed us in the twenty-five days between June 22 and July 17. Then again in the week after the recall. When four more states surfaced only once their own clusters hit the reporting threshold.

SIGNAL WITHIN THE SIGNAL

If you read my newsletters regularly, you might see NDW? It stands for the Norman Decision Window. When a situation is active, there is always a window where a decision can be made before it’s beyond your control.

The window here was not abstract. Every day the outbreak continued unresolved; another shipment of the same lettuce sat on a truck headed to our food supply. Companies trace deliverables. There is always lots of data; most companies are data rich but information poor. What I see in my practice, data exists, but people don’t know how to access the information needed.

Interviews were conducted; data existed. What did not exist was the urgency of the issue as day twenty-five approached. The Decision Window does not wait for someone to understand the data.

Public health agencies did exactly what they are built to do. They confirmed before they acted. Every state came online once its own cluster met the reporting bar. This meant the map grew as the confirmation arrived. The system was built for accuracy to confirm first, then act second.

The fix is not more surveillance. Two things are happening at the same time.

How confident are we in the supplier in question?

How confident are we in the exact case count?

The point of the Norman Decision Window is that the time that matters is how fast contaminated product keeps moving. It’s not about how fast the paperwork moves. Waiting for the paperwork means more people get sick.

Once a single named supplier is identified, a public notice should be issued. There is no need to wait for the full multistate case count. Identifying a supplier and knowing the exact case count don’t have to move at the same speed.

Deciding to do something within the window is acting on a strong signal, not waiting.

Apple didn’t lose trade secrets. It lost the exit interview.

THE SIGNAL

On Friday, July 10, 2026, Apple filed suit against OpenAI in the U.S. District Court for the Northern District of California.

The complaint names two people: Chang Liu, a former senior electrical engineer who kept his Apple laptop after leaving. Apparently, he discovered a bug giving him ongoing access to Apple’s internal file servers.

Then Tang Yew Tan, Apple’s former VP of product design for iPhone and Apple Watch. He’s now OpenAI’s chief hardware officer. The lawsuit claims over 400 former Apple employees now work at OpenAI.

The headline is a tech giant suing a rival for stolen secrets. The real story is smaller and worse. A departing engineer’s access to internal systems was never fully closed. How did that happen to a company that is so good at building systems?

THE FAILURE POINT

I’ve been consulting for 35 years. I’ve never seen what happens when someone leaves a company and how the badge and credentials process works. If this can happen at Apple, how many less tech-savvy companies miss this?

I should mention, I love Apple products. I’ve been using a Mac since around 2005; in fact, I have one of the old white vinyl MacBooks, and it still works.

We can see the exact failure point. It happened when Liu’s badge and laptop access weren’t shut down. Somewhere between HR processing the resignation and IT, the close-out failed. Was it a system glitch or did everyone assume someone else closed the loop?

Apple is not a company that lacks security infrastructure. It has some of the most guarded product development processes in consumer technology. That’s what makes this case instructive instead of embarrassing. The failure didn’t happen in a system that was weak everywhere. It would be interesting to sit in the boardroom and hear who is blaming who.

SIGNAL WITHIN THE SIGNAL

If you’ve been reading my newsletters, you are probably familiar with a few terms: Norman’s Law, Signal Compression, and Norman’s Gap.

This is an example of Norman’s Gap, I describe it like this: when external pressure exceeds regulation (internal balance), then instability follows.

What is the risk when employees leave a company? We can come up with a substantial list. At Apple, AI talent is leaving in waves, and every departure carries operational risk.

I believe great systems should be designed to balance the external pressure and regulation so the process has low variability. If it’s true Apple is experiencing some level of an exodus, maybe the system wasn’t designed to handle this volume. Apple had the policy. It didn’t have the enforcement.

BEHAVIOR UNDER PRESSURE

When talent exits accelerate, security teams default to trust over verification. Access reviews get treated as a checkbox on an offboarding form instead of a hard gate that blocks the next hire’s start date.

I’ve spent a lot of time in leadership meetings, and turnover is seen as an HR metric, not a systems vulnerability. I’ve never heard that brought up, ever. Moving forward, I have some guidance to surface in those meetings.

In the lawsuit, Tan allegedly used Apple’s internal codenames to draw more detail out of candidates who were still employed. Then reportedly circulated an internal offboarding document that taught new hires how to go around Apple’s exit checks. That’s a system where someone should have known about this gap.

SYSTEM DRIVER (MOS) / LEADER DRIVER (IOS)

The fix isn’t a new policy. I’m sure Apple has one that has probably been looked at since this event. The fix, like a lot of what I stress here, is a named owner and a deadline attached to every departure. No exceptions.

Peter Drucker said it plainly. “What gets measured gets managed.” That confirmation belongs on a dashboard next to headcount and revenue.

Recently at work, I was involved in a discussion about actions from Tier meetings. If we are tracking and measuring the number of actions without a named owner, we could also be measuring the mean time to close an action. Then use that as feedback to the team to improve velocity of action closure.

If you have been involved with implementing a change, then you know the hard part is internal. Even in my own consulting experience, when I have let people go, I did it with compassion and never felt those employees were a risk. But in this case, the process wasn’t followed. I’ve often said that simply implementing a client’s own compliance with its systems would generate a measurable improvement.

Is it noted somewhere that every badge and remote access point was closed?

On July 30, OpenAI cut prices on its two lower-cost GPT-5.6 models by up to 80 percent and said roughly 100,000 researchers would get free access to its frontier models through 2027.

The move intensifies a pricing war among AI labs while pushing more advanced models into academic and scientific hands, potentially accelerating research output beyond what institutions can review.

Management connection: leaders scaling access this fast should ask who inside their own organization is reviewing what gets built with it, not just who gets to use it.

Anthropic released Claude Opus 5 at roughly half the price of its Fable 5 model, while xAI rolled out free Grok add-ins for Excel, Word and PowerPoint the same week.

Falling prices across frontier models lower the barrier to embedding AI directly into everyday office work, shifting the competitive question from raw capability to distribution.

Leadership insight: for most managers the tool is no longer the bottleneck, policy and training on how staff actually use it now is.

Paramount agrees to delay $111 billion Warner Bros. Discovery merger until after trial

Paramount Skydance agreed with a coalition of state attorneys general to hold off closing its acquisition of Warner Bros. Discovery until June 2027 or five days after a court ruling, whichever comes first, but remains exposed to costs reported at roughly 6.9 million dollars a day if the deal has not closed by September 30.

Citizens Bank may have made the right decision. The more interesting question is why it took so much public pressure to get there.

THE SIGNAL

On July 17, 2026, Citizens Bank announced it would close its lending relationships with GEO Group and CoreCivic, the two largest private prison operators running ICE detention contracts.

The bank called it a business decision, citing federal plans to buy several GEO-owned facilities and to reduce the company’s financing needs.

But something else was going on. Money started leaving, big money.

Jersey City divested in June.

Montclair pulled $91 million in June.

Individual customers and local organizations withdrew another $25 million.

Activists have been organized and went after the bank in numerous cities. The De-ICE Citizens Bank Coalition spent a year building pressure across cities, customers, and in the press. Citizens Bank’s announcement came a week after the biggest withdrawal.

THE FAILURE POINT

A bank leads money to those who need to borrow it. The decision to stop lending money to two of the largest private prison operators because, as it said, these companies need less money seems suspect.

More troubling for me was this public statement: “This does not reflect any change in our view.”

The bank is asking us to believe two things that just don’t feel right: no objection to funding those companies and not related to a year of large protests.

SIGNAL WITHIN THE SIGNAL

This looks like Norman’s Gap. External pressure kept building while the public explanation barely moved. To me, it’s the measurable distance between external pressure and internal regulation.

I can’t know what those boardroom discussions sounded like, but I can imagine sitting in that room. Two cities had already made withdrawals of over $90 million. The campaign had been going on for over twelve months. Customers were making withdrawals, and the negative national attention kept building.

Every organization feels pressure. You have to wonder what that pressure did to the decision-making process. The bank never changed its public position. Then it showed up in a written explanation, after a timeline of events.

We saw three institutions respond differently. Citizens landed on the safest facts to stand on. CoreCivic did the opposite, and it called itself a lawful, government partner in the strongest financial position in its history. It treated the exit as Citizens’ loss rather than its own. GEO said nothing at all. I’ve watched this happen in manufacturing. The public statement is rarely the first decision. It’s the last one.

SYSTEM DRIVER - MOS

The purpose of a management operating system is to take reality and turn it into action. One practical rule is this: every public statement written under external pressure should begin by acknowledging that pressure. The first sentence needs to address the pressure. It should lead with a carefully chosen explanation.

LEADER DRIVER - INTERNAL OPERATING SYSTEM (IOS) - REGULATE

The internal failure is where a leader accepts the public explanation. Under public pressure, we look for a solution. An uncomfortable sentence. Might have been the solution. The instinct is to reach for the explanation that protects the widest set of relationships, clients, and pending deals. That instinct is exactly what produces a statement the public can see through. A better approach is to lead with the truth and follow with the explanation.

IF YOU DO ONE THING TODAY

As a leader, look at your last few statements; identify one that was issued under pressure. If it names a convenient fact instead of the actual driver, a rewrite is needed.

THE SIGNAL

The Lincoln Memorial Reflecting Pool got a $14 to 16 million renovation. However, within days of being refilled, a significant algae bloom appeared. Congress is now involved, looking at the contracting process, the cost escalation, and why a freshly completed project failed this fast.

Aquatic scientists needed no investigation to explain it. They know shallow water, nutrients and a dark coating can mean trouble.

I live in Florida, my pool gets to around 84 to 86 degrees inn the summer, we know growth can happen fast, why didn’t they see this?

Those conditions are well known. They were there before the renovation began, when the coating was selected, when they started the refill. The system failed on day one because nobody confirmed all of this before going-live.

THE FAILURE POINT

The algae is not the failure. It is the outcome.

The real failure happened before the algae ever appeared. Someone decided the project was ready because construction was finished, not because anyone proved it would actually work under real operating conditions. Somewhere in this whole chain, a system was declared ready because the work was done, not because the conditions for success had been confirmed.

• The coating was completed.

• The pool was refilled.

The ribbon was cut after construction completion, not on proof that the completed work would hold under real world conditions.

That validation step, the one requiring an owner to sign off on the conditions to ensure success, before water went in.

SIGNAL WITHIN THE SIGNAL

This is Signal Compression moving through a procurement and engineering review chain. To me, this is Signal Compression. The information that mattered never reached the people making the final decision.

The physical conditions never changed. The pool remained shallow, nutrients were available, and the new dark coating absorbed additional heat. From a biological perspective, algae wasn't surprising, it was predictable. The signal was biological and physical:

That signal was known to engineering before the contract was signed. It could have been spotted inside every discussion between aquatic scientists and the authorization to refill. What reached the decision level was a construction milestone.

We see this anytime work is done, completion means its okay to run.

Under the schedule and the budget pressure, most organizations will treat finished construction as the problem is solved.

A question that should have been asked, will the completed system perform under real operating conditions?

We see this in every area where systems are handed from builders to operators without an operating and safety check.

• Builders certify completion.

• Operators inherit assumptions.

When the system fails on the first operating cycle, who was checking the conditions? The conditions were present and known before the handoff. Nobody named them because naming them would have gone against the pressure for results.

SYSTEM DRIVER - MOS

The correction is what we see in an engineering change. When I worked in aerospace, engineering changes didn't move because someone said they were finished. Every change had to pass through a series of approval gates, and every engineer signed their name before it moved forward. There was clear ownership. Not a checklist one person reviewed. But a separate sign-off that ensures someone reviewed and is saying this system will perform as designed under real world conditions?

For the Reflecting Pool, that gate would have poked at what happens to water with all these variables.

The answer was available. There was no gate process to require it. This fix sounds simple, no system goes live after a major renovation without an individual signing off on it. How about adding four words to every project close-out: operational conditions confirmed by.

LEADER DRIVER - INTERNAL OPERATING SYSTEM (IOS) - REGULATE

The internal failure is where a leader accepts completion as confirmation.

Under project pressure, the brain looks for permission to close the loop. A finished milestone gives it. This is where a regulated leader slows down instead of speeding up. Before accepting "it's finished," they ask one more question: Have we actually proven this system will work where it's going to live?

That question is uncomfortable after a $14 to 16 million renovation because it implies the work may not be done.

The regulated leader asks it anyway.

IF YOU DO ONE THING TODAY

As a Leader, you have plenty of initiatives, identify one in your organization that completed an implementation in the last 12 months.

Ask did it go through an operational gate separate from the construction or build completion.

If the answer is no, or if no one can produce the document, you have a potential embarrassment on your hands.

Find an owner.

Test the system before the first failure, not after.
